Welcome to Recovery Life Patterns, a software product developed and owned by Emerald Business Services, Inc. dba Recovery Life Patterns ("RLP," "we," "our," or "us"). By accessing or using RLP Software, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use RLP Software.
License to Use RLP Software
RLP Software is a software product that is made available to customers through licenses issued by RLP or through other forms of permission granted by RLP. These licenses or permissions may be subject to additional terms and conditions that are agreed upon by the customer and RLP.
Restrictions on Use
You may not use RLP Software in any manner that could damage, disable, overburden, or impair RLP's servers or networks, or interfere with any other party's use and enjoyment of RLP Software. You may not attempt to gain unauthorized access to any portion of RLP Software, or any other systems or networks connected to RLP Software.
Intellectual Property
RLP Software and its related materials, including but not limited to software, documentation, and content, are owned by RLP and protected by copyright laws and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on RLP Software or any of its related materials, without RLP's prior written consent.
Disclaimer of Warranties
RLP Software is provided "as is" without warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. RLP makes no warranty that RLP Software will meet your requirements or that the operation of RLP Software will be uninterrupted or error-free.
Limitation of Liability
In no event shall RLP be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of RLP Software, whether or not RLP has been advised of the possibility of such damages. RLP's total liability to you for any damages arising out of or in connection with your use of RLP Software shall not exceed the amount you paid for the license to use RLP Software.
Indemnification
You agree to indemnify, defend, and hold harmless RLP, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your use of RLP Software or your violation of these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or RLP Software shall be filed only in the state or federal courts located in San Diego County, California, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
Changes to Terms
RLP may update these Terms from time to time, and your continued use of RLP Sofware after any such updates constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.
Entire Agreement
These Terms constitute the entire agreement between you and RLP regarding your use of RLP Software and supersede all prior agreements between you and RLP. Any additional or different terms or conditions in any other document, including any purchase order or other ordering document, shall be of no effect.
Termination
RLP may terminate your license to use RLP Software at any time for any reason, including without limitation, if you breach these Terms or if RLP discontinues the product or service. Upon termination, you must immediately cease using RLP Software and destroy all copies of RLP Software in your possession.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
The failure of RLP to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
